By accessing our website, requesting a quote, signing a contract, or engaging any services with Gondonella, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
1. Introduction
Gondonella Events LLC is a professional event management company offering comprehensive services including conference planning, product launches, gala dinners, festival coordination, AV rental, and on-site event management. These Terms govern all interactions between you ("User", "Client", "you") and our Company.
1.1 Nature of Agreement
This is a binding legal agreement between you and Gondonella. Your use of our website, attendance at our events, or purchase of our services constitutes acceptance of these Terms.
1.2 Authority to Agree
By using our services, you represent that you have the legal authority to enter into these Terms, whether as an individual or on behalf of a company or organization.
2. Definitions
For purposes of this Agreement, the following terms have the meanings stated:
"Website" means www.gondonella.com and all associated pages, features, and content, whether accessed via web browser, mobile application, or other means.
"Services" means event management services including but not limited to conference planning, product launches, gala dinners, festival coordination, AV rental, technical production, and on-site event management.
"Client" or "User" means you or your organization engaging Gondonella Services, whether as the event organizer, purchaser, or authorized representative.
"Event" means the specific conference, product launch, gala dinner, festival, or other gathering for which you engage our Services.
"Content" means all text, images, videos, graphics, files, and other materials displayed on or provided through our Website or Services.
"Intellectual Property" means trademarks, copyrights, patents, trade secrets, and other proprietary rights.
"Service Agreement" or "Contract" means the formal written agreement detailing specific Services, pricing, timeline, and terms for your Event.
"Third-Party Providers" means independent contractors, venues, vendors, AV companies, catering services, and other service providers coordinated through our Services.
3. Use of Our Website
3.1 Lawful Purposes Only
You agree to use our Website and Services only for lawful, legitimate purposes. You will not:
- Use our Website or Services for any illegal activity or in violation of any applicable law
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the operation of our Website or Services
- Transmit malware, viruses, or harmful code
- Engage in harassment, discrimination, or defamation
- Violate intellectual property rights of any party
- Engage in spam, phishing, or fraudulent activities
- Scrape content from our Website without authorization

4.2 Quoted Pricing
- All pricing is based on information provided during consultation
- Quotes are valid for 14 days from issuance date
- Quotes assume event details remain unchanged
- Changes to event scope, size, date, or requirements may result in price adjustments
- Final pricing is confirmed in the Service Agreement
- Additional services or scope changes requested after quote are subject to additional fees
4.3 Pricing Terms
- All prices are in USD unless otherwise specified
- Prices do not include vendor services, venue rental, or third-party costs unless explicitly stated
- Applicable sales tax will be added to invoices
- Pricing is subject to change upon renewal of multi-year agreements
4.4 Payment Terms
- Deposit of 25-50% is required to confirm event booking
- Remaining balance is due 14 days prior to event date
- Late payments may result in service suspension
- Payment methods accepted include credit card, bank transfer, and check
- No refunds for services not rendered due to Client cancellation
4.5 Cancellation Policy
- Cancellations made more than 60 days before event: Deposit refunded minus 15% administrative fee
- Cancellations made 30-60 days before event: Deposit retained, 50% of remaining balance due
- Cancellations made less than 30 days before event: Full payment due
- Cancellations due to force majeure: Case-by-case consideration
4.6 Service Modifications
- Gondonella may propose service modifications based on budget, timeline, or logistics
- Client approval is required for any service changes
- Changes may affect pricing and timeline
5. Intellectual Property
5.1 Ownership of Website Content
All content on our Website, including text, graphics, logos, images, and videos, is the exclusive property of Gondonella or licensed from third parties. This content is protected by copyright and trademark laws.
5.2 Our Intellectual Property Rights
- Gondonella retains all intellectual property rights to:
- Our Website design and structure
- Our planning processes and methodologies
- Our branding, logos, and trademarks
- Our marketing materials and concepts
- Event designs created by our team
- Any improvements or derivatives of the above
5.3 Limited License
You are granted a limited license to:

- Download or print content for non-commercial purposes
- Share Website links with others
You may not:
- Reproduce, distribute, or publish Website content without permission
- Create derivative works or modifications

5.5 Client Content Rights
- You retain ownership of content you provide (attendee lists, designs, logos, etc.)
- You grant Gondonella a non-exclusive license to use your content to provide Services
- We may use event photos and materials for our portfolio and marketing (with your consent)
- You represent that you own or have permission to use all content provided
5.6 Event Photography and Recordings
- Unless specified otherwise, Gondonella has the right to photograph and record events
- These materials may be used for documentation, marketing, and portfolio purposes
- You may request specific restrictions on photography or recording in your Service Agreement
- Videos or photos of attendees require attendee consent for public use
6. User Content and Submissions
6.1 Your Content
You maintain ownership of all content you provide, including event details, designs, attendee information, and other materials.
6.2 License to Us
By providing content, you grant Gondonella:
- A non-exclusive license to use content to provide Services
- The right to store and process content on our servers
- The right to copy content for backup and security purposes
- The right to share content with vendors and service providers as needed for event execution
6.3 Confidentiality of Your Content
We maintain confidentiality of Client information except:
- As required for event execution and vendor coordination
- As required by law or legal process
- With your explicit consent
- Information that is publicly available
6.4 Testimonials and Case Studies
By providing testimonials or participating in case studies, you grant us the right to:
- Use your name, company name, and testimonial in marketing materials
- Reference your event in promotional content
- Share your testimonial on our website and social media
You may revoke this permission with 30 days written notice.
6.5 User Submissions
Any unsolicited suggestions, ideas, or materials you submit become the property of Gondonella. We may use such submissions without compensation or attribution.
7. Third-Party Links and Services
7.1 External Links
Our Website may contain links to third-party websites. We are not responsible for:
- The accuracy, legality, or content of external websites
- Privacy practices of external websites
- Technical issues with external links
7.2 Third-Party Service Providers
- Gondonella coordinates with independent vendors including venues, catering, AV companies, and entertainment
- These vendors are independent contractors, not employees of Gondonella
- We are not responsible for:
- Vendor performance or quality of services
- Vendor breaches of contract
- Vendor delays or cancellations
- Vendor damages or injuries
- Vendor agreements are separate from our Service Agreement
- You may need to sign separate agreements with vendors
7.3 Vendor Disclaimers
Gondonella acts as a coordinator, not as principal or guarantor of vendor services. While we carefully select vendors, we cannot guarantee their performance.
8. Disclaimer of Warranties
8.1 "As-Is" Provision
Our Website and Services are provided on an "AS-IS" and "AS-AVAILABLE" basis. We make no warranties regarding:
- The accuracy or completeness of Website content
- The uninterrupted or error-free operation of our Website
- The absence of viruses or harmful components
- The suitability of our Services for your specific needs
8.2 No Implied Warranties
We disclaim all implied warranties including:
- Warranty of merchantability

While we commit to professional event management, we cannot guarantee:
- Specific attendance numbers
- Media coverage or press attendance
- Weather conditions or outdoor event success
- Attendee behavior or satisfaction
- Vendor performance or quality
- Elimination of all technical issues
8.4 Third-Party Service Disclaimers
We disclaim responsibility for performance of third-party providers. We act as coordinators and cannot guarantee vendor services.
9. Limitation of Liability
9.1 Liability Cap
To the fullest extent permitted by law, Gondonella's total liability for any claim arising from your use of our Website or Services shall not exceed:
- The amount paid by you for the Services in question, or
- $5,000 USD, whichever is less
9.2 Excluded Damages
Under no circumstances shall Gondonella be liable for:
- Indirect, incidental, special, or consequential damages
- Lost profits or revenue
- Lost data or business interruption
- Damage to reputation or goodwill
- Punitive or exemplary damages
This applies even if we have been advised of the possibility of such damages.
9.3 Mitigation
You agree to mitigate damages by:
- Notifying us promptly of any issues
- Providing reasonable opportunity to cure problems
- Cooperating with our resolution efforts
9.4 Exceptions
This limitation does not apply to:
- Death or personal injury caused by our gross negligence

10. Indemnification
10.1 Client Indemnification
You agree to indemnify, defend, and hold harmless Gondonella and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorney fees) arising from:

- Your violation of these Terms
- Your content or submissions
- Your infringement of intellectual property rights
- Bodily injury or property damage caused by attendees or guests at your event
- Your breach of applicable laws
10.2 Scope
This indemnification covers third-party claims, regulatory actions, and any litigation related to the above.
10.3 Conditions
Your indemnification obligation requires that:
- We promptly notify you of the claim
- You have sole control of defense and settlement
- We cooperate reasonably in the defense
11. Termination
11.1 Termination of Services
Gondonella may terminate services if:
- You breach these Terms and fail to cure within 30 days of notice
- You engage in illegal activity or harassment
- You fail to make timely payments
- Providing services becomes impossible or illegal
- You request termination in writing
11.2 Effect of Termination
Upon termination:
- All Service obligations cease
- You remain liable for services rendered and expenses incurred
- Refund policies apply per your Service Agreement
- Confidentiality obligations survive
- Dispute resolution provisions survive
11.3 Survival
The following provisions survive termination:
- Intellectual property rights
- Limitation of liability
- Indemnification
- Governing law
- Dispute resolution
12. Governing Law
12.1 Jurisdiction
These Terms and all related matters shall be governed by the laws of the State of New York, United States, without regard to its conflict of laws principles.
12.2 Venue
You consent to exclusive jurisdiction and venue in the state and federal courts located in New York County, New York for any disputes.
12.3 Dispute Resolution
Before pursuing litigation:
- You agree to attempt good-faith negotiation
- Either party may request mediation
- Mediation costs shall be split equally
- If negotiation and mediation fail, litigation may proceed
13. Severability
If any provision of these Terms is found to be unenforceable or invalid:
- That provision shall be modified to the minimum extent necessary to make it enforceable
- If modification is not possible, the provision shall be severed
- Remaining provisions shall continue in full force and effect
- The severance shall not affect the validity of the entire agreement
14. Changes to These Terms
14.1 Right to Modify
Gondonella reserves the right to modify these Terms at any time. Changes become effective upon posting to our Website.
14.2 Notification
For material changes, we will:

- Notify existing Clients via email
14.3 Your Acceptance
Continued use of our Website or Services constitutes acceptance of updated Terms. If you do not agree with changes, you may terminate your agreement with 30 days written notice.

Additional Provisions
Insurance
Clients are encouraged to maintain liability insurance for their events. Gondonella maintains professional liability insurance but does not assume liability for attendee injuries or property damage.
Compliance
You are responsible for ensuring your event complies with all applicable local, state, and federal laws, including permits, licenses, alcohol regulations, and safety codes.
Entire Agreement
These Terms, along with your specific Service Agreement, constitute the entire agreement between you and Gondonella regarding event services and supersede all prior communications and agreements.
No Waiver
Failure by Gondonella to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment
You may not assign these Terms or your rights under them without our written consent. Gondonella may assign these Terms in connection with a merger, acquisition, or sale of assets.
These Terms and Conditions are effective as of April 2024.
By using Gondonella services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
